  1. COURSES AND EDUCATION MATERIALS
    1. Knowledge Foundry (“KF”) generally offers the following courses:
      1. Color Accounting Fundmanetals Online
    2. KF reserves the right to change the course content of any Course at any time and without notice.
  2. SALE OF COURSES
    1. The purchase of Courses is subject to the following:
      1. The prices stipulated for the relevant Course on the KF website and / or catalogue; and
      2. Includes the granting of a non-exclusive, non-transferable licence to use the Course material and documentation (“Course Material”) on the terms of such licence, as set out in the clause immediately below.

  3. USAGE OF COURSES ON MULTIPLE DEVICES
    1. The Courses may be accessed via devices such as computers, tablets and mobile phones. You may activate or deactivate devices via your Profile, which you can access by logging in to your account on the KF website. You may only have a maximum of two active devices at any one time. KF reserves the right to suspend or cancel your access to the Course, pending further enquiry and without giving you a refund, should you access a Course via five or more devices during the duration of the Course.
  4. EXPIRATION OF COURSES
    1. Each Course that you have purchased, together with the associated learning resources, will be made available to you for use until 90 days after you complete the Course, after which the Course and associated learning resources will no longer be accessible. Where the Course includes textbooks, you may continue to use such textbooks after the expiration of the Course. Your use of the textbooks shall continue to be governed by KF's Course Terms and Conditions, as amended from time to time.
  5. LICENCING
    1. You may:
      1. Receive and possess the Course Materials associated with the relevant Course purchased and use such Course Materials, as well as use such as a record of information for the term of this licence, provided that only you may may make such use of them; and
      2. Download and use the Course Materials for the purposes of completing the associated course only.
  6. LICENSEE UNDERTAKING
    1. Except as expressly provided for in this licence, you undertake the following:
      1. not to copy the Course Materials except where such copying is incidental or necessary for the purposes of completing the relevant Course;
      2. not to rent, lease, sub-license, loan, translate, merge, adapt, vary or modify the Course Materials;
      3. not to alter, or modify, the whole or any part of Course Materials, nor permit the Course Materials or any part of them to be combined with, or become incorporated into, any other materials;
      4. not to allow any person to use your log-in details, including, your User Name and Password, except as authorized by KF in writing;
      5. To personally complete the relevant Course, without allowing another person to complete any part of the Course on your behalf;
      6. not to provide or otherwise make available the Course Materials in whole or in part, in any form to any person without prior written consent from KF;
      7. to supervise and control use of the Course Materials and ensure that they are used by your employees and representatives in accordance with the terms of this Licence, if you are an employer;
      8. to include the copyright notice of KF on all entire and partial copies you may make of the Course Materials on any medium; and
      9. not to provide or otherwise make available the Course Materials in whole or in part, in any form to any person without prior written consent from KF.
  7. CANCELLATIONS AND REFUNDS
    1. You have the right to withdraw from your transaction, without charge and without giving any reason, until delivery of the Course has commenced. Delivery of the Course commences immediately when you begin to download the Course, and you will not have a right to cancel, nor the right to a refund for the Course thereafter, unless you have received an unacceptably poor download. If this happens, you must notify our Technical Support department, in writing, as soon as possible by clicking here. If the poor download is caused by us and cannot be resolved, a refund may be provided.
    2. Where delivery of the Course has not commenced, cancellation requests must be made to our Accounts department, in writing, no later than seven business days after the date of purchase of the course. To request a refund, please click here and complete the form.
    3. Should your cancellation request comply with clause 7.2, KF will refund the purchase price paid for the Course by crediting the payment card or PayPal account originally used to make the purchase.
  8. INTELLECTUAL PROPERTY RIGHTS
    1. You acknowledge that all intellectual property rights in the Course Materials belong to KF and / or its partners and associates, and that rights in the Course Materials are licensed, and not sold, to you, and that you have no rights in, or to, the Course Materials other than the right to use them in accordance with the terms of this Licence.
  9. OBLIGATIONS AND PROHIBITED USES
    1. You may not use the KF websites, including any Course Forum websites to:
      1. Violate any applicable law;
      2. Upload or transmit any material that infringes or misappropriates the intellectual property of any person;
      3. Post, transmit or upload any junk mail, spam, viruses, worms, or other forms of harmful computer code, nor engage in conduct that is disruptive to the ordinary operation of the websites;
      4. Communicate any unlawful, offensive, harmful, threatening, abusive, harassing, defamatory, hateful, fraudulent, sexually explicit, racially, ethnically, or otherwise objectionable material of any sort;
      5. Compile and use the personal information of other users, including contact information that may appear on the websites, for the purpose of creating or compiling marketing or mailing lists or sending unsolicited marketing materials; and
      6. Reproduce, distribute, publicly display, publicly perform, or exploit any course content except as permitted by these Terms and Conditions.
  10. KF'S LIABILITY
    1. Nothing in this Licence shall exclude or in any way limit KF's liability for fraud, or for death or personal injury caused by its gross negligence, or any other liability to the extent that it may not be excluded or limited as a matter of law.
    2. KF shall not be liable under, or in connection with, this Licence for:
      1. Loss of income;
      2. Loss of business profits or contracts;
      3. Business interruption;
      4. Loss of the use of money or anticipated savings;
      5. Loss of information;
      6. Loss of opportunity, goodwill or reputation;
      7. Loss of, damage to or corruption of data; or
      8. Any direct or indirect or consequential loss or damage of any kind howsoever arising.
    3. There are no conditions, warranties, representations or other terms, express or implied, that are binding on KF except as specifically stated in this Licence.
  11. TERMINATION
    1. KF may terminate this Licence immediately by written notice to you if:
      1. You commit a material or persistent breach of this Licence which you fail to remedy (if remediable) within 14 days after the service of written notice requiring you to do so; or
      2. The Licensee, where it is a company;
        1. Becomes insolvent or unable to pay its debts, within the meaning given in the Insolvency Act 24 of 1936;
        2. Enters into liquidation, whether voluntary or compulsory, other than for reasons of bona fide amalgamation or reconstruction;
        3. Passes a resolution for its winding-up;
        4. Has a receiver or administrator manager, trustee, liquidator or similar officer appointed over the whole or any part of its assets, or
        5. Makes any composition or arrangement with its creditors or takes or suffers any similar action in consequence of its debt, unable to pay your debts within the meaning given in the Insolvency Act of 1986.
  12. ENTIRE AGREEMENT
    1. These terms and any document expressly referred to in them represent the entire agreement between KF in relation to the purchase of Course Material and supersede any prior agreement, understanding or arrangement between KF and yourself, whether oral or in writing.
